Terms of service
The rules for using Apparus CRM. Draft prepared October 2026. Version 2026-10-22.
Draft for legal review — not yet in effect.
This draft describes how Apparus CRM works today so it can be reviewed by counsel. It is not a final policy or a binding agreement. Text in highlighted brackets marks details that must be confirmed or completed before launch.
Agreement
These terms are an agreement between you and Apparus (“Apparus,” “we,” “us”) for your use of the Apparus CRM website and service (the “Service”). [To confirm: legal entity name and address]
By creating an account or using the Service, you agree to these terms and acknowledge our privacy policy. If you use the Service for a business, you confirm that you have authority to accept these terms for that business, and “you” includes that business. You must be old enough to form a binding contract where you live. [To confirm: minimum age]
Accounts and workspaces
- Keep your login details secure and tell us promptly if you suspect unauthorized access.
- Records are organized into workspaces. The person who creates a workspace is its owner. Owners and admins can invite members, change roles, and remove members; members can work with the workspace's records.
- The workspace owner is responsible for who has access to the workspace and for the workspace's use of the Service.
- You are responsible for activity under your account.
Changes to the Service
The Service is new. Features may change, be added, or be removed, and the Service may have bugs or interruptions. We will try to give reasonable notice of significant changes, but we cannot yet promise any particular availability. Please keep your own copies of information that is important to you; owners and admins can export leads, contacts, tasks, and logged emails as CSV files.
Plans and billing
- Every workspace starts on the Free plan, which has limits on members and monthly AI requests.
- Prices shown on our pricing page are proposals and may change. Paid plans are not yet available for purchase.
- When paid plans become available, payments will be processed by Stripe, and the price, billing period, renewal, and cancellation terms will be shown before you buy. [To complete before launch: renewal, cancellation, refund, and tax terms]
- Plan limits are enforced automatically. If you reach a limit, the related feature (for example, inviting more members or making AI requests) pauses until the limit resets or you change plans.
Your data
- You own your data. “Your data” means the records and other content you and your workspace's users put into the Service.
- Our permission to use it. You give us permission to host, copy, process, and display your data only as needed to provide, secure, and support the Service, and as described in our privacy policy.
- Your responsibilities. You are responsible for having the right to collect and store the information you enter about other people, and for complying with laws that apply to how you contact them. Apparus does not send messages on your behalf.
- Export and deletion. You can export supported records and delete your workspace or account as described in our privacy policy.
AI features
- AI features produce drafts and suggestions. They can be inaccurate, incomplete, or inappropriate for your situation. Review every output before you rely on it or share it.
- AI output is not legal, financial, tax, lending, real estate, or other professional advice.
- You are responsible for anything you send or do based on AI output. The Service never sends messages for you.
- AI requests are limited per plan and may be rate limited. Workspace owners can turn AI features off, and we may suspend AI features if needed to protect the Service or comply with our provider's terms.
Acceptable use
You agree not to:
- Use the Service for anything unlawful, deceptive, harassing, or harmful.
- Store payment card numbers, bank account numbers, government identification numbers, passwords, or health information in the Service.
- Upload malware or content you do not have the right to use.
- Try to access other workspaces, other users' accounts, or parts of the Service you are not authorized to use.
- Probe, scan, or test the Service's security except as allowed by our responsible disclosure guidelines.
- Circumvent plan limits, rate limits, or other technical restrictions.
- Disrupt the Service, overload it with automated traffic, or reverse engineer it except where the law allows.
- Resell or provide the Service to others as a standalone product without our written permission.
Industry templates
Templates (for example, service business and real estate) are organizational starting points: a suggested pipeline, fields, and tasks. They are not professional advice. Apparus does not provide MLS access, listing sync, e-signatures, scheduling, or transaction management.
Third-party services
The Service relies on providers such as Supabase (database and authentication), OpenAI (AI features), and, once paid plans are available, Stripe (payments). Their services are subject to their own terms. We are not responsible for third-party services we do not control.
Suspension and termination
- You can stop using the Service and delete your workspace or account at any time.
- We may suspend or end access if you materially breach these terms, if required by law, or if needed to protect the Service or other users. Where reasonable, we will give notice and a chance to export your data first.
- Sections that by their nature should survive termination (such as your data responsibilities, disclaimers, limitation of liability, and indemnity) will survive.
Disclaimers
To the extent permitted by law, the Service, including AI features and templates, is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
Limitation of liability
To the extent permitted by law, Apparus will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim. [To confirm with counsel: liability cap, including for free-plan users]
Indemnity
You agree to defend and indemnify Apparus against claims arising from your data, your use of the Service in violation of these terms, or your violation of law or of someone else's rights. [To confirm with counsel: scope of indemnity]
Changes to these terms
We may update these terms as the Service evolves. If we make material changes, we will notify account holders before they take effect. Continuing to use the Service after the changes take effect means you accept them. [To confirm: notice method and period]
Governing law
[To complete: governing law, venue, and dispute resolution]
